1. Agreement to Terms.

These Terms and Conditions (the "Terms") constitute a legally binding agreement between you, as a Private Product Owner or user ("you"), and WillsMkt ("Company", "we", "our", "us") regarding your access to and use of the website www.willsmkt.pro (the "Site") and related services.

By accessing or using the Site in any manner, whether automated or otherwise, you:

  • Acknowledge that you have read, understood, and agree to be bound by these Terms; and

  • Agree to be bound by our Privacy Policy and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the WillsMkt marketplace.

If you do not agree with these Terms, you must discontinue use of the Site and our services.

2. Affiliate Disclosure.

WillsMkt participates in various affiliate and partner marketing programs.

This means that we may earn commissions (referred to as PACA) on purchases made through certain links from our marketplace to third-party retailer or partner sites. This commission:

  • Comes at no additional cost to the shopper, and

  • Is part of the commercial arrangement between WillsMkt and the third-party merchant or Product Owner.

3. Product Liability Disclaimer.

WillsMkt is a brand and platform that connects shoppers with third-party brands and Product Owners. We do not manufacture, store, or ship the products listed on our marketplace.

Accordingly:

  • WillsMkt is not responsible for the quality, safety, legality, accuracy, or availability of any products offered by third-party merchants or partners;

  • WillsMkt is not responsible for the shipping, delivery, or return of products purchased through links on our platform;

  • Any issues with a purchase (including defects, delays, non-delivery, or refund disputes) must be resolved directly with the third-party merchant or Product Owner (the "Partner").

By using our links and services, you acknowledge that your purchase contract is with the third-party merchant and not with WillsMkt.

4. Subscription & Billing (Partner Portal.)

Access to the WillsMkt Partner Portal requires a recurring monthly subscription fee (the "Listing Fee").

Automatic Renewal
Your subscription will automatically renew each month unless you cancel before the renewal date.

Cancellation
You may cancel your subscription at any time through your account dashboard (where available) or by contacting the WillsMkt Support Team at:

Refunds
Subscription fees are non-refundable, except where required by applicable law.

Payment Processing
By entering your payment information, you:

  • Authorize our secure third-party payment providers to charge the specified amount to your selected payment method; and

  • Confirm that you are an authorized user of the chosen payment method.

All payment transactions are processed in accordance with the policies and security standards of the respective payment providers.

5. User Registration and Use of Services.

You may visit and browse the WillsMkt marketplace without registering.

If you choose to access the Partner Portal, you agree to:

  • Provide accurate and complete registration information; and

  • Keep your login credentials confidential and not share them with unauthorized parties.

If you follow a WillsMkt shopping or product link and place an order on a Product Owner’s website, you may be asked by that Product Owner to supply certain personal information relevant to your order.

By placing an order through a link from WillsMkt, you represent and warrant that:

  1. You have the legal right to use any personal information and payment details provided to the third-party merchant.

  2. The information you supply through our partners’ websites is true, correct, and complete.

  3. You are legally capable of entering into binding shopping and purchase agreements in your jurisdiction.

WillsMkt is not a party to the sales contract between you and the third-party merchant.

6. Age Limit.

Use of the WillsMkt services is restricted to individuals who are 18 years of age or older.

  • WillsMkt does not knowingly permit individuals under 18 to use the Service as partners or shoppers.

  • Even if the content of partner products or services is not shocking or explicit, WillsMkt intends to target a mature audience capable of understanding the implications and responsibilities of commercial transactions.

Any partner (subscriber) who is discovered to be under 18, or otherwise ineligible, may be removed from our database once this is brought to our attention. Likewise, any customer who does not meet these age criteria is not authorized to shop through our marketplace.

If you are a parent or guardian and believe that a minor has provided information to WillsMkt or is using our services, please contact us so we can take appropriate action.

7. Modifications to Terms.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

  • If a revision is significant, we will make reasonable efforts to provide at least 30 days’ notice prior to the new terms taking effect (for example, by updating the "Last Updated" date and posting a notice on the Site).

  • What constitutes a “significant” change will be determined at our sole discretion.

By continuing to access or use the Site and our services after the revised Terms become effective, you agree to be bound by the updated Terms. If you do not agree with the new Terms, in whole or in part, you must stop using the website and the services.

8. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

You agree that the courts of the Philippines shall have non-exclusive jurisdiction over any dispute arising from or related to your use of the Site or these Terms. Where local consumer protection laws in your country of residence provide you with mandatory rights or protections, those rights will remain unaffected.
